1. Scope
These Subscription & Billing Terms ("Billing Terms") govern your purchase and use of paid Services, including any one-time setup fee and any recurring Subscription. They are part of the Terms of Service. Refunds are governed by the Refund Policy. If these Billing Terms conflict with the main Terms on billing, these Billing Terms control.
2. Fees and plans
2.1 Fees. The fees, plan features, billing frequency (for example, monthly), and any one-time setup fee are those presented to you at the point of purchase in the Services (the "Order"). The Order, together with these Billing Terms, describes what you are buying.
2.2 Setup fees. A setup fee, if shown at purchase, is a one-time charge billed at the start of your first billing period and is non-refundable except as required by law or expressly stated in the Refund Policy.
2.3 Currency and payment method. Fees are stated and charged in U.S. dollars. You must provide a valid payment method and keep it current.
3. Payment processing (Stripe)
3.1 Payments are processed by Stripe, Inc. ("Stripe"). By purchasing, you also agree to Stripe's applicable terms. You provide your payment-card details directly to Stripe; TraIDCred does not collect or store your full card number.
3.2 You authorize TraIDCred, through Stripe, to charge your payment method for all fees you incur, including the setup fee, recurring Subscription fees, applicable taxes, and any amounts for a plan change, until your Subscription is cancelled and all amounts are paid.
3.3 Electronic authorization. You provide this payment authorization, and you receive all billing-related agreements, disclosures, receipts, and notices, electronically. Your electronic acceptance at checkout has the same legal effect as a handwritten signature, as described in the Electronic Communications & E-Sign Consent, which is incorporated into these Billing Terms and the Terms of Service.
4. Billing cycle and automatic renewal
4.1 Recurring billing. Your Subscription bills in advance on a recurring basis for each billing period (for example, monthly) at the price shown in your Order.
4.2 AUTOMATIC RENEWAL — PLEASE READ. Your Subscription automatically renews at the end of each billing period for another period of the same length, and your payment method will be charged the then-current fee for that plan, unless you cancel before the renewal date. There is no separate action required to renew. This is a recurring charge that continues until you cancel.
4.3 Renewal price. Renewals are charged at the then-current price for your plan. If the price will change at renewal, TraIDCred will give you advance notice as described in Section 7.
4.4 Cancellation reminders. Where required by applicable law, or as a matter of good practice, TraIDCred will provide renewal or cancellation reminders and an easy online method to cancel.
5. Cancellation
5.1 How to cancel. You may cancel your Subscription at any time through your Account's subscription settings or by contacting support@traidcred.com.
5.2 Effect of cancellation. Cancellation stops future renewals. Unless the Refund Policy or applicable law provides otherwise, cancellation takes effect at the end of the current paid billing period, and you retain access to the paid Services until then. TraIDCred does not provide prorated refunds for the unused portion of a billing period except as stated in the Refund Policy or required by law.
6. Failed payments
6.1 If a charge fails, TraIDCred (through Stripe) may retry the charge. TraIDCred may suspend or downgrade your access to paid Services if payment remains unpaid after a reasonable period, and may terminate the Subscription for continued non-payment.
6.2 You remain responsible for amounts that were properly incurred before suspension or termination. You must keep your payment method current to avoid interruption.
7. Changes to fees or plans
7.1 TraIDCred may change fees, plans, or features on a prospective basis. For a price increase that will apply to your Subscription, TraIDCred will provide advance notice (for example, by email) before the change takes effect at your next renewal. If you do not agree, you may cancel before the change takes effect; continuing to use the paid Services after the effective date constitutes acceptance of the new price.
8. Taxes
Fees are exclusive of taxes. You are responsible for any applicable sales, use, or similar taxes, which TraIDCred may collect and remit where required. If TraIDCred is required to collect tax, it will be added to your charge.
9. Payment disputes and chargebacks
9.1 If you believe you were billed in error, contact support@traidcred.com first so TraIDCred can review and resolve it promptly.
9.2 Initiating a chargeback or payment dispute without first contacting TraIDCred may result in suspension or termination of your Account pending resolution. TraIDCred may provide transaction records to Stripe and your card issuer to resolve a dispute. Nothing in this Section limits your rights under applicable law or your card issuer's rules.
10. Termination and effect on billing
10.1 If TraIDCred terminates your Account for your breach of the Terms, you are not entitled to a refund of fees already paid, except as required by law or expressly provided in the Refund Policy.
10.2 If TraIDCred discontinues a paid Service for its convenience, it will, where reasonable, provide a prorated refund of prepaid, unused fees for the affected period, as described in the Refund Policy.
10.3 Suspension does not pause or extend a billing period unless TraIDCred states otherwise in writing.
11. Early Access
The paid Services are offered through the Early Access Program and may evolve (see Terms of Service §5.4). Fees buy access to the Services as they exist from time to time; features may be added, changed, or removed. TraIDCred does not guarantee that any specific feature will remain available.
12. Governing law
These Billing Terms are governed by the laws of the State of Utah and are subject to the governing-law and dispute-resolution provisions of the Terms of Service (including the arbitration and class-action-waiver provisions).
