1. Agreement to Terms
1.1 These Terms of Service, together with the Policies incorporated by reference (collectively, the "Terms"), form a binding agreement between you and TraIDCred governing your access to and use of the Services. By creating an Account, submitting a Credential, viewing a Public Profile, requesting Document Access, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1.2 If you use the Services on behalf of a business or other entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.
1.3 Incorporated Policies. The following are incorporated into and part of these Terms: the Verification Program Terms, the Verification Badge Usage Policy, the Acceptable Use Policy, the Fraud & Misrepresentation Policy, the Account Suspension & Termination Policy, the Privacy Policy, the Data Retention Policy, the Subscription & Billing Terms, the Refund Policy, the Electronic Communications & E-Sign Consent, and the Cookie Policy. If a Policy conflicts with the main body of these Terms on a topic the Policy specifically addresses, the Policy controls for that topic; the Verification Standard controls on the meaning of any verification term.
The Security Overview and the Identity Verification Notice, both referenced in the Privacy Policy, are informational documents rather than binding Policies — they describe how the Services work and what a third-party provider does, and they neither add to nor limit your rights under these Terms. Every document named here is published at traidcred.com/legal.
2. Definitions
Capitalized terms have the meanings given in the Defined Terms, which is published alongside these Terms in the Legal Center and is incorporated by reference. Key terms include Company/TraIDCred, Services, User, Tradesperson, Account, Profile Viewer/Homeowner, Public Profile, Credential, Verification/Verified, Document Access, Badge, and Content.
3. Eligibility
3.1 You must be at least 18 years old and able to form a binding contract to use the Services.
3.2 Tradesperson Accounts are for business/professional use in connection with a trade. You must provide accurate registration information and keep it current.
3.3 The Services are offered from and intended solely for users in the United States, in English. The Services are not directed to, and should not be used by, persons outside the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local law.
4. Accounts and security
4.1 You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account. Notify us promptly of any unauthorized use.
4.2 You are responsible for the accuracy of all information and Content you provide.
5. The Services; what TraIDCred is and is not
5.1 TraIDCred provides a platform on which Tradespeople can submit Credentials for Review and display non-sensitive verification status on a Public Profile, and on which Profile Viewers can view that status and request time-limited Document Access.
5.2 What TraIDCred is not. TraIDCred is not a licensing authority, government agency, insurer, insurance producer, employer, staffing or referral service, background-check provider, consumer reporting agency, or guarantor. TraIDCred does not perform work, does not vouch for any Tradesperson, and does not guarantee any outcome. Verification means only what the Verification Standard and Verification Program Terms say it means, and nothing more.
5.3 No professional relationship. Use of the Services does not create any agency, partnership, employment, joint venture, or fiduciary relationship, and does not constitute legal, insurance, or professional advice.
5.4 Early Access Program. The Services are offered through TraIDCred's Early Access Program — an operational, paid release that is fully usable but still evolving. During Early Access, features and verification processes may change, be added, or be removed; the Services are provided without any service-level commitment or uptime guarantee and may not yet include every feature or safeguard of a later general-availability release. You understand that you are a paying Early Access customer of an evolving service. The disclaimers in Section 14 and the limitations in Section 15 apply in full to the Early Access Program.
6. Verification
6.1 Credential Review, verification statuses, "Verification Completion," "Fully Verified," and the Badge are governed by the Verification Program Terms, the Verification Badge Usage Policy, and the Verification Standard, each incorporated by reference. The authoritative meaning of any verification term is the Verification Standard. You acknowledge the limits of verification described there, including that statuses are point-in-time, manually reviewed, and not confirmed with any issuing authority or insurer.
7. User Content and Credentials
7.1 Ownership. You retain ownership of your User Content. You are solely responsible for it and represent that you have all rights necessary to submit it and that it is accurate and lawful.
7.2 License to TraIDCred. You grant TraIDCred a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display your User Content solely to operate, provide, secure, and improve the Services — including displaying non-sensitive credential status and metadata on your Public Profile and providing Document Access you or the Services authorize. This license is limited to these purposes and ends when your Content is deleted, except for (a) copies retained in TraIDCred's disaster-recovery backups as described in the Data Retention Policy and (b) records TraIDCred must retain under the Data Retention Policy or applicable law.
7.3 No public exposure of documents. TraIDCred does not publicly display Credential files, their contents, filenames, storage paths, reviewer notes, or Sensitive Credential Data. Public Profiles show only non-sensitive status and metadata, consistent with the Verification Standard's public-display invariant.
7.4 Feedback. If you send suggestions, TraIDCred may use them without obligation to you.
8. Document Access
8.1 A Tradesperson (or the Services on the Tradesperson's behalf) may grant a Profile Viewer a time-limited, revocable Access Grant to a specific Credential document. Access Grants may expire and may be revoked. Profile Viewers must use accessed documents only for the purpose of evaluating the Tradesperson and must not copy, redistribute, or misuse them.
9. Acceptable use
Your use of the Services is subject to the Acceptable Use Policy and the Fraud & Misrepresentation Policy, incorporated by reference. Prohibited conduct may result in the actions described in the Account Suspension & Termination Policy.
10. Fees, subscriptions, and payment
10.1 Paid Services. Certain Services are offered for a fee, which may include one-time setup fees and recurring (for example, monthly) subscriptions. The specific fees, billing cycle, automatic renewal, cancellation, failed-payment handling, proration, and taxes are governed by the Subscription & Billing Terms, and refunds are governed by the Refund Policy, each incorporated into these Terms. By purchasing a paid plan, you agree to those documents.
10.2 Payment processor (Stripe). Payments are processed by Stripe, Inc. ("Stripe"). TraIDCred does not collect or store full payment-card numbers; you provide card details directly to Stripe, which handles them under Stripe's own terms and privacy policy. You authorize TraIDCred, through Stripe, to charge your selected payment method for the fees you incur, including recurring charges, until you cancel.
10.3 Automatic renewal. Paid subscriptions automatically renew for successive billing periods at the then-current price unless you cancel before the renewal date, as described in the Subscription & Billing Terms. You may cancel at any time as described there and in the Refund Policy.
10.4 Changes to fees. TraIDCred may change fees on a prospective basis; changes take effect at your next billing period after notice, as described in the Subscription & Billing Terms.
11. Intellectual property
11.1 The Services, including all software, content, and Marks (other than User Content), are owned by TraIDCred or its licensors and protected by law. Subject to these Terms, TraIDCred grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. All rights not expressly granted are reserved.
11.2 Badge use is governed by the Verification Badge Usage Policy.
11.3 Copyright complaints. TraIDCred respects intellectual-property rights. If you believe Content on the Services infringes your copyright, you may notify TraIDCred's designated agent at legal@traidcred.com (TraIDCred LLC, Attn: David Byers, DMCA Designated Agent, 826 Expressway Ln Unit #688, Spanish Fork, UT 84660) with the information required under the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, including identification of the work, the allegedly infringing material and its location, your contact information, a good-faith statement, and a statement under penalty of perjury that you are authorized to act. TraIDCred may remove or disable access to allegedly infringing Content, will follow a notice-and-counter-notice process, and may terminate, in appropriate circumstances, Users who are repeat infringers. _(Operational: the DMCA-designated agent was registered with the U.S. Copyright Office on 2026-07-28 — Service Provider "TraIDCred LLC"; renew by 2029-07-28. 12. Privacy and electronic communications
Your use of the Services is subject to the Privacy Policy and the Cookie Policy. By using the Services you consent to electronic communications and records as described in the Electronic Communications & E-Sign Consent.
13. Third-party services
The Services rely on third-party providers (for example, hosting, storage, authentication, and email). TraIDCred is not responsible for third-party services, and your use of any third-party service is governed by that provider's terms.
14. Disclaimers of warranties
14.1 THE SERVICES AND ALL VERIFICATION STATUSES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade, to the maximum extent permitted by law.
14.2 Without limiting Section 14.1, TraIDCred does not warrant that: (a) any Credential is genuine, valid, current, or in force; (b) any Tradesperson is licensed, insured, skilled, competent, honest, safe, or suitable; (c) the Services will be uninterrupted, secure, or error-free; or (d) any status will remain accurate after its Last-Reviewed Date.
14.3 No reliance beyond stated meaning. Any reliance on a verification status is at your own risk and is limited to the meaning expressly stated in the Verification Standard and Verification Program Terms. Some jurisdictions do not allow certain warranty exclusions, so parts of this Section may not apply to you.
15. Limitation of liability
15.1 No indirect damages. To the maximum extent permitted by law, TraIDCred and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business, arising out of or relating to the Services or these Terms, even if advised of the possibility.
15.2 Liability cap. To the maximum extent permitted by law, TraIDCred's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the total amounts you paid to TraIDCred for the Services in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
15.3 Third-party conduct. TraIDCred is not liable for the acts, omissions, work, conduct, or Content of any Tradesperson, Profile Viewer, or other third party, including any harm arising from a homeowner's engagement of a Tradesperson.
15.4 Exclusions from the cap. The limitations in this Section 15 do not limit your obligations under Section 16 (Indemnification) or any amounts you owe TraIDCred, and do not apply to liability that cannot be limited or excluded under applicable law.
15.5 Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
16. Indemnification
16.1 You will defend, indemnify, and hold harmless TraIDCred and its officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content or Credentials; (b) your use of the Services; (c) your violation of these Terms or applicable law; (d) your misrepresentation of your licensing, insurance, or qualifications; or (e) your work for, or dealings with, any customer or third party. This indemnity applies to the fullest extent permitted by law; nothing in it requires you to indemnify TraIDCred for TraIDCred's own gross negligence or willful misconduct.
16.2 Procedure. TraIDCred will give you reasonable notice of any claim subject to Section 16.1, and you will cooperate in the defense. TraIDCred may participate in the defense with its own counsel at its own expense, and you may not settle any claim in a manner that imposes any obligation or admission on TraIDCred without TraIDCred's prior written consent.
17. Suspension and termination
17.1 Suspension and termination are governed by the Account Suspension & Termination Policy. You may stop using the Services at any time. Sections that by their nature should survive (including Sections 7.2 (residual license), 11, 14, 15, 16, 18, 19, and 20) survive termination.
18. Dispute resolution; governing law; arbitration; class-action waiver
18.1 Governing law. These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles, and by the Federal Arbitration Act as to Section 18.4.
18.2 Informal resolution first. Before starting an arbitration or other formal proceeding, you agree to contact TraIDCred at legal@traidcred.com with a written description of the dispute and to attempt to resolve it informally in good faith for at least thirty (30) days. This requirement does not apply to the carve-outs in Section 18.5.
18.3 Jury-trial waiver. To the maximum extent permitted by law, you and TraIDCred each waive any right to a jury trial in any dispute arising out of or relating to the Services or these Terms.
18.4 Binding individual arbitration; class-action waiver.
(a) Agreement to arbitrate. Except for the carve-outs in Section 18.5, any dispute, claim, or controversy arising out of or relating to the Services or these Terms (a "Dispute") that is not resolved under Section 18.2 will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, by a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
(b) Individual basis only; class-action waiver. Arbitration will proceed only on an individual basis. You and TraIDCred waive any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court under Sections 18.1 and 18.6, and the remainder of this Section 18.4 will continue to apply.
(c) Location and format. Arbitration will be seated in Utah, and any in-person hearing will take place in the county of your residence or another mutually agreed location; telephonic or video/document-only proceedings are available under the AAA rules.
(d) Costs. The allocation of arbitration fees is governed by the AAA Consumer Arbitration Rules. TraIDCred will not seek its attorneys' fees from you unless the arbitrator finds your claim frivolous.
(e) 30-day right to opt out. You may opt out of this arbitration and class-action-waiver provision by emailing legal@traidcred.com with your name and a clear statement that you opt out, within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms and will not disadvantage your use of the Services.
18.5 Carve-outs. The following are not subject to Sections 18.2 and 18.4: (a) claims that may be brought in small-claims court for disputes within that court's jurisdiction, so long as they remain individual; and (b) requests for temporary or preliminary injunctive relief to protect intellectual property or confidential information, or to address unauthorized access or misuse, which may be brought in the courts identified in Section 18.6.
18.6 Venue for court proceedings. For any Dispute not subject to arbitration (including under an opt-out or a carve-out), the state and federal courts located in Utah have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.
18.7 Savings. Nothing in this Section 18 waives any right or remedy that cannot be waived under applicable law, and non-waivable consumer rights under applicable state or federal law are unaffected.
18.8 Changes to this Section. If TraIDCred materially changes this Section 18 after you accept these Terms, you may reject the change as to accrued Disputes by notifying legal@traidcred.com within 30 days of the change.
19. Changes to the Terms
19.1 TraIDCred may modify these Terms. For material changes, TraIDCred will provide notice (for example, by email or in-Service notice) and, where required, obtain re-acceptance consistent with the Electronic Communications & E-Sign Consent and TraIDCred's acceptance-recording practices. Changes are effective on the stated effective date; continued use after that date constitutes acceptance of non-material changes.
20. General
20.1 Entire agreement. These Terms (with the Policies) are the entire agreement between you and TraIDCred regarding the Services and supersede prior agreements on the subject.
20.2 Severability. If any provision is unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted.
20.3 No waiver. Failure to enforce a provision is not a waiver.
20.4 Assignment. You may not assign these Terms without TraIDCred's consent; TraIDCred may assign them in connection with a merger, acquisition, or sale of assets.
20.5 Force majeure. TraIDCred is not liable for delays or failures due to causes beyond its reasonable control.
20.6 Notices. TraIDCred may provide notices to you electronically (by email or in-Service notice). You may send legal notices to TraIDCred at legal@traidcred.com or by mail to TraIDCred LLC, Attn: Legal, 826 Expressway Ln Unit #688, Spanish Fork, UT 84660.
20.7 Relationship. The parties are independent contractors.
20.8 No third-party beneficiaries. These Terms are for the sole benefit of you and TraIDCred and their permitted successors and assigns. Nothing in these Terms creates any third-party-beneficiary rights in any person, and no Profile Viewer, Homeowner, or other person is a third-party beneficiary of any Tradesperson's representations or obligations under these Terms.
